Maugham HSA By-Laws

 

ARTICLE I – NAME  
The name of this organization shall be Maugham Home School Association (Association).
 

ARTICLE II – OBJECTIVES  
The objectives of this Association shall be: To promote the well-being of the children in the home, the school and the community and to bring into closer relationship the home and school to the end that parents and teachers cooperate most effectively in each child’s education.
 

ARTICLE III – MEMBERSHIP AND DUES  
 Section 1:  Membership is open to all parents, teachers and administrators of Maugham School.
 Section 2:  Membership dues, as established by the Co-Presidents of the Association each year, shall be paid annually.
 
ARTICLE IV – EXECUTIVE BOARD  
Section 1:  The Executive Board shall consist of the Officers, the Principal, and a faculty member or members appointed by the Principal.

 Section 2:  The Executive Board shall implement the objectives of the Association as stated in Article II of these by-laws. It shall also make decisions on behalf of the Association between HSA meetings.
 Section 3:  Meetings of the Executive Board shall be held at the call of the Co-Presidents. Those members of the Executive Board present shall constitute a quorum.
 

ARTICLE V – OFFICERS AND ELECTION  
Section 1:  (a) The officers of the Association shall be as follows: two (2)-four (4) Co-Presidents, two (2) Co-Secretaries and two (2) Co-Treasurers. All positions have a two (2) year term. a) These officers will be introduced at the Annual HSA meeting which will take place in May. ​
 Section 2:  Nominations for officers shall be made by a Nominating Committee of five (5) members. The outgoing Co-Presidents shall appoint the Chairman and members of the Nominating Committee. No more than two of the five members of the Nominating Committee shall be members of the Executive Board. The two (2) members are typically the two (2) outgoing Co-Presidents. Additional nominations may be made from the floor at the Annual HSA Meeting provided the consent of each candidate has been obtained before his or her name is placed in nomination. (b) the Nominating Committee shall have the sole power and authority to determine the executive titles, numbers and duties of the officers of the Association as they deem fit for following calendar school year.
 Section 3:  A vacancy occurring in an office shall be filled by the Co-Presidents for the unexpired term


 
ARTICLE VI – DUTIES OF OFFICERS  
Section 1:  The Co-Presidents shall preside at all meetings of the Association and of the Executive Board and shall be members ex-officio of all committees, shall make a report of the activities of the Association at the Annual Meeting and shall perform all other duties usually pertaining to the office. They will represent the school’s HSA during the Co-President and Superintendent meetings once a month held at the Board of Education and report any important information to the Maugham community during the HSA meetings
Section 2:  The Co-Secretaries shall keep a record of all the HSA meetings. They are responsible for sending out information to the Maugham community as requested by the Executive Board, Committee Chairs and the School Administration.
Section 3:  The Co-Treasurers shall receive all monies of the Association, shall keep an accurate record of the receipts and expenditures, shall pay out funds as authorized by the Executive Board and/or the Association. The Co-Treasurers shall give a report when required by the Executive Board, and shall make a full report during the Annual Budget Meeting usually held in July
Section 4:  In accordance with Article V, Section 2(b), the Nominating Committee may change the duties of the officers as outlined in this Article VI.
 
ARTICLE VII – MEETINGS  
Section 1:  The Co-Presidents shall designate the dates for the HSA meetings. Meetings will be held 5 times during the school year.
Section 2:  There shall be an Annual Meeting in May, at which time annual reports shall be received, officers elected and business transacted.
Section 3:  Meetings of the Association shall be open to the general public, but the privilege of holding office, making motions and voting shall be limited to the members of the Association
Section 4:  Those members of the Association present at HSA Meetings shall constitute a quorum.

 
ARTICLE VIII – COMMITTEES  
Section 1: The number of members constituting each committee shall be determined by the Co-Presidents. Members of any committee shall serve at the discretion of the Co- Presidents for the term of two (2) years unless otherwise determined by the Co-Presidents. The Co-Presidents, shall have the power to remove an appointed member of any committee for any reason. The CoPresidents have the power to appoint another member in his or her place. 

ARTICLE IX – AMENDMENTS
These by-laws may be amended at the Annual Meeting of the Association by a two-thirds vote of the members present and voting, provided written notice of the proposed amendment was given to the membership at least thirty days prior to such Annual Meeting.

ARTICLE X: STATUS
Section 1: The Association is organized exclusively for the charitable, scientific, literary, or educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code.

ARTICLE XI: TAX EXEMPT PROVISIONS
Section 1: No part of the net earnings of this Corporation shall inure to the benefit of, or be distributable to, its members, Trustees or Officers, or other private persons, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered, to reimburses agents for reasonable and necessary expenses incurred on behalf of the Association, and to make payments and distributions in furtherance of the purposes of the Association.
Section 2: Upon the dissolution of the Association, its assets remaining after payment, or provision for payment, of all debts and liabilities, shall be distributed for one or more exempt purposes within the meaning of Section 510(c)(3) of the Code or shall be distributed to the federal government, or to a state or local government, for a public purpose. Such distribution shall be made in accordance with all applicable provisions of the laws of this state.
